Shareholder Communication Policy
The aim of DuluxGroup’s communication arrangements is to provide shareholders with information about their company and enable them to exercise their rights as shareholders in an informed manner.
DuluxGroup recognises that people other than shareholders, such as potential investors or other interested stakeholders, may have an interest in information about the company. DuluxGroup aims to be open and transparent with all stakeholders, and strives to convey to its shareholders pertinent information in a detailed, factual and timely manner.
2. Communication channels
Clear communication and easy access to company information are important objectives of the DuluxGroup's communication strategy. As a newly listed company, the Board of DuluxGroup intends to communicate to shareholders regularly through a range of forums, publications and online, including:
- the company's Annual General Meeting (AGM) - which shareholders are encouraged to attend;
- the Annual Report and annual financial report – which DuluxGroup intends to make available in hard copy or on its website;
- communications from the Chairman and Managing Director to specifically inform shareholders of key matters of interest;
- disclosures to the Australian Stock Exchange (ASX) and the Australian Securities and Investments Commission (ASIC); and
- presentations to analysts and investors and other major annoucements released to the ASX.
3. Annual Report
The Board is cognisant of the importance of the Annual Report including relevant information about the operations of DuluxGroup during the year, changes in the state of affairs of the company and details of future development, in addition to other disclosures required at law.
DuluxGroup’s auditor will be requested to attend the AGMs and be prepared to answer questions concerning the financial statements.
Shareholders will be encouraged to ask questions at AGMs to ensure a high level of accountability and identification with DuluxGroup’s strategy and goals.
4. Company website
DuluxGroup intends to use its website at www.duluxgroup.com.au as a forum to make available a range of information relevant to shareholders and stakeholders concerning the operation of the company.
Shareholders will be able to gain access to information about DuluxGroup, including media releases, key policies and the charters of the company’s Board and its committees, through the website.
The Annual Report and financial accounts will be available on the website following the end of the company’s first financial year as a listed company.
Transcripts and presentation slides of the Chairman’s and Managing Director’s speeches will be made available on the website following the company’s first AGM, as well as other information related to the AGM.
